PRESERVATION DALLAS
DUTIES OF THE BOARD OF TRUSTEES

Preservation Dallas is governed by a (maximum) 36-member Board of Trustees that meets every other month, and between Board meetings, by an Executive Committee consisting of officers of the organization and chairmen of the standing committees.

Trustees are elected at the annual membership meeting held in June, and take office July 1, concurrent with the fiscal year. Trustees serve a three-year term and may be eligible for re-election to a second term.

Per the bylaws, the Board manages the affairs of the organization, which include:

Approving and monitoring the policies and programs of Preservation Dallas;

Providing guidance and oversight to the standing and ad hoc committees;

Approving an annual financial plan including a budget covering all funds available to Preservation Dallas, and ensuring the effective administration of the financial plan once approved;

Electing a president, and considering the recommendations of the nominating committee for such other officers as are needed;

Approving the chairpersons of all committees;

Requiring, if needed, any officer or agent to file with Preservation Dallas a satisfactory bond conditioned for faithful performance of his or her duties; and

Approving the selection of outside auditors.

Trustees have a fiduciary duty to be familiar with the bylaws of the organization, to ensure that appropriate and accurate information is provided at Board meetings and in official minutes of the organization, to attend meetings, to actively participate in fundraising, and to provide guidance to the organization without regard to personal advantage.

Board members are required by Preservation Dallas to attend at least half of the Board meetings held annually, both scheduled and specially called; to serve on at least one committee; to support the organization financially; and to serve as advocates for historic preservation and the organization in the community. Board members are expected to join the organization at the Sustainer ($100) level or above, and to solicit others for membership.

Board meetings are scheduled for the entire year at the beginning of the fiscal year, and are currently held on the fourth Monday of every other month at 5:30 p.m. at the Wilson Carriage House. Board members are generally protected under the terms of the Texas Charitable Immunity & Liability Act of 1987 from civil liability for acts or omissions if acting in good faith, and within the scope of duties assigned by the organization.
